Below are the current PipeFund Forms in Microsoft Word® for use in PIPE Transactions and Registered Direct Offerings. These templates incorporate the standard terms and conditions contained in the PST Documents referenced in such PipeFund Forms.
If you are drafting Transaction Documents for a new PIPE Transaction or Registered Direct Offering and have obtained a license to use PipeFund Documents:

download the template PipeFund Forms necessary or desired for your transaction by clicking on the names of the applicable documents listed under ‘PipeFund Forms’ below, and

create Transaction Documents by modifying the PipeFund Forms as necessary or appropriate to conform to your transaction.
